Participation agreement for independent healthcare specialists on the ReAssure Med platform

This agreement applies to healthcare specialists participating on the ReAssure Med platform as independent contractors. If you are a patient or general visitor, please refer to our Terms of Use and Patient Medical Consent.

Healthcare Specialist Participation Agreement

This Healthcare Specialist Participation Agreement (the “Agreement”) is entered into by and between ReAssure Med (the “Company”) and the undersigned healthcare specialist (the “Specialist”). This Agreement governs the Specialist's participation on the ReAssure Med platform (the “Platform”).

1. Independent Contractor Relationship

The Specialist is engaged as an independent contractor and not as an employee, partner, joint venturer, or agent of the Company. Nothing in this Agreement shall be construed to create an employment relationship. The Specialist is solely responsible for all taxes, withholdings, insurance, and statutory obligations arising from compensation paid under this Agreement. The Specialist is not entitled to Company benefits and has no authority to bind the Company.

2. Scope of Services

The Specialist agrees to provide independent medical record reviews, second-opinion analyses, and related professional insights as requested through the Platform (the “Services”). The Services are advisory only and do not constitute direct patient care, diagnosis, treatment, or the establishment of a physician–patient relationship.

3. Licensing and Professional Standards

The Specialist represents and warrants that they hold and will maintain all licenses, certifications, and registrations required to perform the Services in the applicable jurisdiction(s). The Specialist shall immediately notify the Company of any suspension, restriction, investigation, or lapse affecting such licensure.

4. Professional Liability Insurance

The Specialist is solely responsible for maintaining professional liability insurance in amounts customary for their profession and jurisdiction. Upon reasonable request, the Specialist shall provide proof of such coverage.

5. Professional Independence

The Specialist retains full and independent medical judgment in performing the Services. The Company does not control the content of the Specialist's professional opinions or conclusions, provided that such Services comply with this Agreement and applicable law.

6. Confidentiality

The Specialist shall maintain the confidentiality of all patient information and proprietary Company information. Confidentiality obligations survive termination of this Agreement and include secure handling, storage, and transmission of data, as well as prompt notification to the Company of any unauthorized disclosure or breach.

7. Data Protection and Privacy Compliance

The Specialist agrees to comply with all applicable data protection and privacy laws, including but not limited to HIPAA, GDPR, and PIPEDA, as applicable. The Specialist shall cooperate with the Company in responding to audits, investigations, or data subject requests.

8. Compensation

The Specialist shall be compensated in accordance with fee schedules or written terms agreed upon through the Platform. Compensation shall be paid following completion of Services and any required invoicing procedures. Except as expressly stated, the Specialist is responsible for all expenses incurred.

9. Term and Termination

This Agreement shall remain in effect until terminated. Either party may terminate this Agreement for convenience upon written notice. The Company may terminate immediately for breach, failure to meet professional standards, or non-compliance with applicable law. Sections relating to confidentiality, liability, and governing law shall survive termination.

10. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages arising out of this Agreement. The Specialist acknowledges that the Company does not provide medical services.

11. Indemnification

The Specialist agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from the Specialist's breach of this Agreement, professional negligence, or violation of law.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction determined by the Company's principal place of business, without regard to conflict-of-law principles.

13. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings. Any amendments must be in writing and agreed to by both parties. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
